Course Description:
The emergence and development of company law. Company law in Hungary. Legal persons. Formation and registration of companies. Rules applicable to non-profit companies. Rules governing the organisation of companies, their officers, representation of the company. Operation of companies: review of decisions, exclusion of members, minority rights. Safeguards for the lawful operation of companies: supervisory board, auditor, supervision by the court of law. Dissolution of companies without succession. Liquidation and winding-up proceedings. Dissolution of companies by succession. Transformation, merger. General partnerships and limited partnerships. Limited liability company.
